Terms of Service

These Terms of Service govern your access to and use of the GaiaScore platform. By creating an account or using the Platform, you agree to be bound by these Terms. If you are accepting on behalf of an organisation, you confirm you have authority to do so.

1.Definitions

For the purposes of these Terms, the following definitions apply:

  • "Account" means a registered user account that grants access to the Platform.
  • "Assessment" means an ESG (Environmental, Social and Governance) data submission created by a User within the Platform.
  • "Content" means any data, text, reports, scores, recommendations, frameworks, badges, and other materials generated by or through the Platform.
  • "Data Requests" means requests sent within the Platform to collect ESG data from other members of an Organisation.
  • "ESG Data" means Environmental, Social, and Governance metrics and disclosures submitted by Users.
  • "Organisation" means a company, business, or entity that has registered for a GaiaScore account.
  • "Plan" means the subscription tier selected by an Organisation (Lite, Growth, Professional Pro, or Enterprise).
  • "Platform" means the GaiaScore web application, APIs, and all related services.

2.Eligibility and Account Registration

2.1 Eligibility

You must be at least 18 years of age to use the Platform. The Platform is intended for business and professional use.

2.2 Account Registration

You must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at support@gaiascore.com of any unauthorised use.

2.3 Roles and Permissions

The Platform operates on a role-based access model:

  • Owner — Full control including billing, organisation deletion, and all features.
  • Admin — Full control except billing and organisation deletion. Can manage members.
  • Contributor — Can create and edit Assessments, Action Plans, Targets, and Data Requests.
  • Consultant — Read-only access. Cannot create, edit, or delete any content.
  • Viewer — Read-only access for internal team members.

3.Subscription Plans and Billing

3.1 Plans

GaiaScore offers Lite (free), Growth (£100/mo), Professional Pro (£250/mo), and Enterprise (custom) plans. Plan features are described on our pricing page.

3.2 Billing

All Subscription fees are billed in advance. Prices exclude applicable taxes. GaiaScore reserves the right to change pricing with 30 days' written notice.

3.3 Refunds

A 14-day refund policy applies to new paid subscriptions. Requests must be submitted to support@gaiascore.com within 14 days of the initial charge.

3.4 Non-Payment

If payment fails after three retry attempts over seven days, paid features will be restricted. Your data is retained for 90 days before deletion following suspension.

4.Permitted Use and Restrictions

4.1 Permitted Use

You may use the Platform solely for lawful business purposes in connection with ESG reporting, sustainability tracking, and related activities.

4.2 Prohibited Activities

You agree not to:

  • Use the Platform for any unlawful, fraudulent, or deceptive purpose.
  • Submit false or misleading ESG data with intent to misrepresent your Organisation's performance.
  • Reverse-engineer, decompile, or extract the source code of the Platform.
  • Scrape or extract data using automated tools without written consent.
  • Interfere with or disrupt the Platform's infrastructure.
  • Resell or sublicense the Platform without an explicit written agreement.
  • Use AI Advisory features to generate misleading regulatory disclosures.

4.3 AI Features

AI-powered features (Advisory Chat, scoring, recommendations) are guidance tools only and do not constitute professional legal, financial, or regulatory advice. Review AI outputs with qualified professionals before formal submissions.

5.Data, Privacy and Security

5.1 Your Data

You retain full ownership of all ESG Data you submit. GaiaScore processes your data solely to provide the Platform services.

5.2 Data Processing

GaiaScore processes personal data in accordance with UK GDPR and the Data Protection Act 2018. A Data Processing Agreement is available upon request.

5.3 Data Retention

Your data is retained during your active subscription and for 90 days following account closure. You may export your data at any time from the Reports section.

5.4 Security

GaiaScore implements encryption in transit and at rest, access controls, and rate limiting. You are responsible for securing your account credentials.

6.Intellectual Property

The Platform, including scoring methodologies, framework alignment tools, badge systems, and design, is the exclusive intellectual property of GaiaScore Ltd. You retain ownership of your ESG data and all reports generated from it. If you submit feedback, GaiaScore may use it to improve the Platform without obligation to compensate you.

7.ESG Scoring, Badges and Recommendations

GaiaScore scores are internal management tools and indicative benchmarks only — not official ratings, certifications, or regulatory assessments. Score accuracy depends on the accuracy of data you submit. Platform badges are internal recognition tools and do not constitute third-party certification. Framework alignment indicators (GRI, TCFD, IFRS S1/S2, VSME, B Corp, UNGC) are guidance tools — formal compliance requires independent assessment.

8.Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, GAIASCORE'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) FEES PAID IN THE 12 MONTHS PRECEDING THE CLAIM; OR (B) £500. GAIASCORE IS NOT LIABLE FOR INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

GaiaScore does not guarantee that use of the Platform ensures compliance with any ESG regulation or reporting standard. You are solely responsible for the accuracy and compliance of your disclosures.

9.Term and Termination

You may terminate your account at any time via Settings or by contacting support@gaiascore.com. GaiaScore may suspend or terminate accounts for material breach, non-payment, or security risk. Upon termination, data is retained for 90 days before permanent deletion.

10.Governing Law

These Terms are governed by the laws of England and Wales. Disputes will first be addressed through good-faith negotiation. Both parties submit to the exclusive jurisdiction of the courts of England and Wales.

11.Modifications

GaiaScore may modify these Terms at any time. Material changes will be notified by email and in-app notification at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
